Agreement to be Bound by License Agreement

I.

By clicking on “I Agree,” the user (sometimes referred to as “you”) understands that BarclayHedge, Ltd., an Iowa corporation (“Barclay”), has licensed to MF Global, Inc. (“MFG”) certain periodic performance data for commodity trading advisors, which is included in the Barclay databases.

The license from Barclay to MFG is a non-exclusive, nontransferable license to use Barclay’s data (referred to as the “Data” or “Licensed Data” under the Barclay-MFG data license Agreement and in this Agreement) solely to enable MFG to promote to clients and prospective clients that MFG has such data available for such clients as an aid in making investment decisions.

From time to time you may be entitled to access all or a portion of the Licensed Data, and by this Agreement, if you are an employee or other representative of MFG, you agree to use the Licensed Data solely on behalf of MFG or, if you are a client or prospective client of MFG (such as an introducing broker or a representative of an introduction broker), you agree to use the Licensed Data solely to enable you to promote to your clients and prospective clients that you have such data and you make it available to your clients and prospective clients so they may make informed personal investment decisions and for no other purpose.

You agree that you shall not use the Licensed Data for any purpose other than aiding the clients or prospective clients of MFG or your clients and prospective clients to use the data for their personal investment purposes. In addition, the contact information in the Licensed Data of the commodity trading advisers (address, phone, etc.) if obtained by you is the confidential information of Barclay and may only be used by you for the above purpose.

You agree to take reasonable steps to protect and preserve Barclay’s ownership of the Licensed Data and you will not use, or permit or encourage others to use such program or data, other than as set forth above as an investment aid for MFG’s or your clients and prospective clients.

In addition, you understand that your rights to use the Licensed Data for any purpose terminate when Barclay’s agreement with MFG terminates.
